IMPORTANT: Please read this End-User License Agreement ("Agreement") carefully before using the HireOutcome Portal. By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.
This End-User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and HireOutcome LLC ("HireOutcome," "we," "us," or "our") governing your use of the HireOutcome Portal, including all associated software, features, and services (collectively, the "Service").
1. License Grant
Subject to your compliance with this Agreement, HireOutcome grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to:
- Sublicense, sell, resell, transfer, assign, or distribute the Service or any portion thereof
- Modify, reverse engineer, decompile, or disassemble the Service
- Copy, reproduce, or create derivative works based on the Service
- Use the Service to build a competing product or service
- Access the Service to benchmark or evaluate it for competitive purposes
2. Account Terms
2.1 Account Creation
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.2 Authorized Users
You may authorize individuals within your organization to access the Service under your account. You are responsible for ensuring that all authorized users comply with this Agreement. You are liable for any actions taken by your authorized users.
2.3 Account Security
You must immediately notify HireOutcome of any unauthorized use of your account or any other breach of security. HireOutcome will not be liable for any loss or damage arising from your failure to protect your account credentials.
3. Third-Party Integrations
3.1 Connected Services
The Service allows you to connect and integrate with third-party services, including but not limited to:
- Accounting platforms (e.g., QuickBooks) for financial data synchronization
- CRM systems for customer relationship and pipeline data
- Payment processors for transaction and billing data
3.2 Third-Party Terms
Your use of third-party integrations is subject to the terms of service and privacy policies of those third-party providers. You are responsible for reviewing and complying with such terms. HireOutcome is not responsible for the availability, accuracy, or functionality of third-party services.
3.3 Authorization
By connecting a third-party service to the HireOutcome Portal, you represent and warrant that you have the authority to grant HireOutcome access to the data in that third-party service, and that doing so does not violate any agreement you have with that third-party provider.
3.4 Data Accuracy
HireOutcome relies on data provided by third-party integrations. We are not responsible for the accuracy, completeness, or timeliness of data received from connected services.
4. Your Data
4.1 Ownership
You retain all rights, title, and interest in and to the data you submit, upload, or connect to the Service ("Your Data"). HireOutcome does not claim ownership of Your Data.
4.2 License to Use Your Data
You grant HireOutcome a limited license to use, process, and display Your Data solely to provide and improve the Service. This license terminates when you delete Your Data or close your account.
4.3 Data Handling
Our collection, use, and protection of Your Data is governed by our Privacy Policy, which is incorporated into this Agreement by reference.
5. Intellectual Property
The Service, including all software, designs, text, graphics, interfaces, and other content, is owned by HireOutcome and protected by intellectual property laws. This Agreement does not grant you any rights to HireOutcome's trademarks, logos, or brand features. All rights not expressly granted in this Agreement are reserved by HireOutcome.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit viruses, malware, or other harmful code
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to the Service or related systems
- Use the Service for any fraudulent or deceptive purpose
- Scrape, crawl, or use automated means to access the Service without prior written consent
7. Service Availability
HireOutcome strives to maintain high availability of the Service but does not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.
8. Fees and Payment
Access to the Service may require payment of fees as set forth in your subscription agreement or order form. All fees are non-refundable except as expressly stated in your subscription agreement. HireOutcome reserves the right to modify pricing with 30 days' prior written notice.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
- HIREOUTCOME DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- HIREOUTCOME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
- HIREOUTCOME'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless HireOutcome and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of this Agreement
- Your violation of any third-party rights
- Your Data or the data you connect through third-party integrations
11. Termination
11.1 By You
You may terminate this Agreement at any time by closing your account and discontinuing use of the Service.
11.2 By HireOutcome
HireOutcome may suspend or terminate your access to the Service at any time if you breach this Agreement, fail to pay applicable fees, or if we determine that your use poses a risk to the Service or other users. We will provide reasonable notice when possible.
11.3 Effect of Termination
Upon termination, your license to use the Service immediately ceases. You may request a copy of Your Data within 30 days of termination. After 30 days, we may delete Your Data in accordance with our Privacy Policy. Sections 4.1, 5, 9, 10, and 13 survive termination.
12. Modifications to This Agreement
HireOutcome may update this Agreement from time to time. We will notify you of material changes by posting the updated Agreement on our website and updating the "Effective Date." Your continued use of the Service after changes are posted constitutes your acceptance of the revised Agreement. If you do not agree with any changes, you must stop using the Service.
13. Governing Law and Disputes
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the state or federal courts located in Ohio. You consent to the exclusive jurisdiction of such courts.
14. General Provisions
- Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and HireOutcome regarding the Service.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.
- Assignment: You may not assign this Agreement without HireOutcome's prior written consent. HireOutcome may assign this Agreement freely.
